Subject Matter Expert & Contractor Terms of Service

*GENERAL AGREEMENT: NDA, NONCIRCUMVENTION, & PAYMENTS

*Above-mentioned party will be referred to as “You” or “Your” throughout this document. GuidedVenture.com will be referred to as “We,” “Us”, “GuidedVenture.com”, or “Our” throughout this document. You confirm that you are legally able to enter into a legal agreement, are above the age of 18, and are a U.S. Citizen or permanent resident of the United States of America.

Part 1: Nondisclosure

This Nondisclosure Agreement (the "Agreement") is entered into by and between you and GuidedVenture.com for the purpose of preventing the unauthorized disclosure of Confidential Information about you, GuidedVenture.com, or clients of GuidedVenture.com as defined below. You agree to enter a confidential relationship with respect to the disclosure of certain proprietary and confidential information ("Confidential Information") of both GuidedVenture.com and its clients.

  1. Definition of Confidential Information.

For purposes of this Agreement, "Confidential Information" shall include all nonpublic information or material that has or could have commercial value or other utility in the business in which Disclosing Party is engaged. It is understood that documents provided to you represent trade secrets owned by GuidedVenture.com and/or clients of GuidedVenture.com.

  1. Exclusions from Confidential Information.

Receiving Party's obligations under this Agreement do not extend to information that is: (a) publicly known at the time of disclosure or subsequently becomes publicly known through no fault of the Receiving Party; (b) discovered or created by the Receiving Party before disclosure by Disclosing Party; (c) learned by the Receiving Party through legitimate means other than from the Disclosing Party or Disclosing Party's representatives; or (d) disclosed by Receiving Party with Disclosing Party's prior written approval.

  1. Obligations of Receiving Party.

Receiving Party shall hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of the Disclosing Party. Receiving Party shall not, without prior written approval of Disclosing Party, use for Receiving Party's own benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of Disclosing Party, any Confidential Information. This includes documents and templates provided to you for completing evaluations.

  1. Time Periods.

The nondisclosure provisions of this Agreement shall survive the termination of this Agreement and Receiving Party's duty to hold Confidential Information in confidence shall remain in effect until the Confidential Information no longer qualifies as a trade secret or until Disclosing Party sends Receiving Party written notice releasing Receiving Party from this Agreement, whichever occurs first.

  1. Relationships.

Nothing contained in this Agreement shall be deemed to constitute either party a partner, joint venturer, member, or employee of the other party for any purpose.

  1. Severability.

If a court finds any provision of this Agreement invalid or unenforceable, the remainder of this Agreement shall be interpreted so as best to effect the intent of the parties.

  1. Integration.

This Agreement expresses the complete understanding of the parties with respect to the subject matter and supersedes all prior proposals, agreements, representations and understandings.

This Agreement may not be amended except in a writing signed by both parties.

  1. Waiver.

The failure to exercise any right provided in this Agreement shall not be a waiver of prior or subsequent rights.

Part 2a: General Agreement and Non-circumvention:

GuidedVenture.com makes money through fees and other services, which we earn when our clients (i.e., companies, individuals, or other organizations) pay for services offered on GuidedVenture.com.

You understand that all templates and documents provided to you are the exclusive property of GuidedVenture.com and/or our clients. Templates, documents, or any other deliverables sold by GuidedVenture.com are the exclusive property of GuidedVenture.com, and you agree not to use these templates and/or documents for any purpose other than for use on projects provided to you by GuidedVenture.com. These documents remain the exclusive property of GuidedVenture.com even if you modify them.

You agree to the following:

Part 2a: Accuracy of your information and quality of work:

As a Freelance Professional, You agree: (i) to provide accurate and up-to-date content regarding Your abilities and qualifications; (ii) to provide services and/or opinions that You believe to be accurate and to the best of your ability; (iii) that clients may reject Your work for sufficient cause which can result in nonpayment; (iv) that you will complete projects on time and based on the parameters provided when you accepted it, and (v) all work presented to GuidedVenture.com is your work and yours alone, unless you have been granted specific written permission to collaborate with others.

 

Part 2b: Non-circumvention of site and/or GuidedVenture.com

You agree that if you became acquainted with a client or other professional through your work completed through GuidedVenture.com, you will only accept payment for services offered by Us for a period of 24 months of Your most recent payment from Us.

Unless GuidedVenture.com explicitly provides you with written permission to contact clients, you will not directly contact clients and/or their attorneys or representatives. If clients of GuidedVenture.com, their representatives, or their attorneys contact You, You agree to forward the message to GuidedVenture.com.

This stipulation applies unless: i) You and the Client had an existing business relationship prior to Your use of this site, ii) We have provided written consent for a limited opt-out from this Site, or iii) you pay a fee to GuidedVenture.com equal to the greater of $5,000 or 40% of total billings with another user over the 24-month period that the non-circumvention agreement applies.

Part 3: Payments for Services:

You confirm that you hold US citizenship, a green card, or work authorization that allows you to legally complete contract-based projects for payment. We may pay you by check, online portal, or ACH-enabled account. Taxes and payment reporting responsibilities remain yours.
